General | The over 90-year-long tradition of FOSFORY of Gdansk reaches back to 1912, when the production of sulphuric acid and inorganic salts began. Almost completely destroyed during the war, the plant was rebuilt in its original shape in 1947. The national project of utilising chemistry in agriculture prompted the realisation of considerable expenditure in the late 1960s. As a result of this investment, the plant developed into a modern phosphoric fertiliser facility. On the basis of a US licence, the production started of Triple Superphosphate Granulated, in which the content of phosphate is three times higher than in simple phosphates. | |

2010 - Today, Ciech SA has
signed with Zaklady Azotowe Pulawy SA a contract for sale of 51 855 shares
(89.46% of the share capital) in Gdanskie Zaklady Nawozów Fosforowych
Fosfory Sp. z o.o. The transaction confirms a consistent implementation of the
Reorganisation Plan of the Ciech Chemical Group, which assumes focus on the
core business, that is development of the soda and organic divisions –
said Ryszard Kunicki, President of the Management Board of Ciech SA during
the ceremonial execution of the contract.
In accordance with the contract, the estimated net price for the majority
block of shares in the “Fosfory” company will account for approximately PLN
107 million. In addition, the Pulawy company will be obliged to repay the
loans given by Ciech SA to companies of the Fosfory Group accounting for PLN
120.6 million. The final price will be determined at the time of completion
of the transaction, upon satisfaction of all conditions, including receipt
of corporate approvals and approvals from the Office of Competition and
Consumer Protection. The offer submitted by ZA Pulawy turned out to be the most beneficial.
Ciech attained one of the important goals defined for this year, and ZA
Pulawy gained a strategic asset which will suit the product offer and
logistic structure of the largest domestic producer of fertilisers –
said Ryszard Kunicki, President of the Management Board of Ciech SA.
On October 19th, 2010 Ciech received from Zaklady Azotowe Pulawy a binding
offer for the purchase of shares in Gdansk “Fosfory” company. After
negotiations, on December 14th the Management Board decided to accept the
offer, which was accepted by the Supervisory Board of Ciech the next day.
Apart from the Pulawy “Azoty” company, five other domestic and foreign
entities were interested in the purchase of the Gdansk company, including
Zaklady Azotowe w Tarnowie company.
The sale of Gdansk “Fosfory” company is the most significant current
divestment process implemented under the Reorganisation Plan of the Ciech
Group. The companies to be sold include also Polfa, Transclean, Transoda,
Vitrosilicon and Alwernia and more than 40 smaller companies, the shares in
which are to be sold. Recently, Ciech finalised another divestment project –
sale to Marvipol for nearly PLN 24 million a part of plot of land at
Powazkowska street. In the nearest future, the Group is going to continue to
implement the Reorganisation Plan. Divestments are aimed at concentration on
the most profitable businesses and acquisition of funds for debt reduction.
GZNF Fosfory is a company with more than 90 years of tradition. In
1995, the company was privatised and since that time on, the leading
shareholder of the company has been Ciech SA. Currently, the Fosfory Group
comprises also Agrochem Czluchów and Agrochem Dobre Miasto. The basic
business of “Fosfory” company involves production of PK (phosphorus and
potassic) artificial fertilisers Agrofoska and NPK (nitric, phosphorus and
potassic) fertilisers Amofoska and Amofosmag, sulphuric acid and sodium acid
sulphate, as well as provision of transhipment and storage services. In
2009, the sales revenues accounted for PLN 282.3 million and investment
outlays of the Fosfory Group reached PLN 9.7 million. |
